El concepto de reestructuración en la directiva 2019/1023 y su traslación al derecho español de sociedades de capital

Abstract

En este trabajo se analiza el concepto de reestructuración que toma la Directiva (UE) 2019/1023, sobre reestructuración e insolvencia, sobre cuya base se establece el marco normativo que han de incorporar los Estados miembros. Asimismo, se examinan las operaciones societarias, incluidas dentro de este concepto, cuya aprobación es competencia de la junta general en el Derecho espa-ñol, y respecto de las que el legislador español debería prever medidas para evitar que los socios pudieran obstaculizar injustificadamente su adopción o ejecución

This papers deals with the notion of restructuring taken by the Directive (EU) 2019/1023 of the European Parliament and of the Council, of 20 June 2019, on restructuring and insolvency, on the basis of which the regulatory framework to be transposed by the Member States is established. In addition, this article examines the corporate transactions, included in this concept, whose approval is the responsibility of the general meeting of shareholders under Spanish Law, in respect of which the Spanish legislator should provide for measures to prevent equity holders from unreasonably hindering their adoption or execution
