Especialidades en materia de remuneración de consejeros de sociedades cotizadas

Abstract

Este trabajo tiene como objetivo ofrecer una visión panorámica sobre las especialidades propias de la remuneración de los consejeros de sociedades cotizadas y el estado de la cuestión. A tal fin, se abordan primero los problemas tradicionales que han afectado a la materia. Se examinan, después, las particu-laridades del sistema y los mecanismos a disposición de los accionistas para controlar la remuneración. Se recogen, finalmente, algunas tendencias generales que se observan en la práctica de las sociedades cotizadas

This paper aims to provide an overview of the special features applicable to the remuneration of directors of listed companies and the current status of the same. It first addresses the traditional problems that have affected the matter. It then examines the particularities of the system and the tools available to shareholders to control the remuneration of directors. Finally, some general trends observed in the practice of listed companies are outlined
