In this Final Degree project, a study is carried out on the new form of incorporation
of commercial companies, with an emphasis on a new method that can be done
entirely online, simplifying the operations and procedures of the lifecycle. That is
because, given that previously, the personal appearance of administrators or
representatives in a notary’s office was required to establish a company. The development of company digitalization is a fundamental requirement for
European regulatory harmonisation. It is intended that in each Member State of the
European Union, anyone wishing to set up an online company without providing
documentation and ensuring the accuracy of the operations, as well as their
subsequent acts, the opening and registration of branches in other states. This is not
available, in theory, to all capital companies, but is only limited to limited liability
companies.
The aim of this work is to analyze in detail the process of updating company
formation regulations on company incorporation, to incorporate a new form of
incorporation entirely online. Our main objective is to study the new form of
incorporation of commercial company, its digitalization, and its change of minimum
capital in the case of a limited liability company.
